Terms and Conditions of Sale
1. Definitions
These Terms and Conditions of Sale shall govern the sale of goods by World Time Solutions Limited (the Seller) to a person, company or corporation named on any order documentation (the Customer).
2. Statement of Terms
All quotations made and all orders accepted are subject to the following terms and conditions. A Customer desiring any reasonable amendment of those terms should communicate with the Seller before forwarding an acceptance. No amendment of these terms shall be valid unless made in writing and signed by the Seller. Submission of a purchase order will be deemed an offer by the Customer to purchase goods and in turn an acceptance of these terms and conditions.
3. Quotations
All quotations made are applicable only to the quantities specified and are valid for 30 days from the date of the quotation, provided the Seller has not previously withdrawn it.
4. Orders
The Customer is required to issue a purchase order for the desired products on their standard order documentation. Order documentation must clearly state the Customer's name and address, delivery address, purchase order number, the applicable product part numbers and exact quantities. An order shall only be deemed accepted by the Seller upon dispatch of an acknowledgement by the Seller of the order.
5. Price
Prices are quoted exclusive of VAT, any other applicable taxes and shipping. VAT is effective at current rates and subject to change by the Government. The Seller reserves the right to pass VAT increases on to the Customer. Prices quoted are based on the Seller's current price list which is subject to change at the Seller's discretion.
6. Payment Terms
Where credit terms have not been agreed, payment should be made in full at the time of order in the currency invoiced by cheque or BACS. Where an account is issued, payment for goods and any associated costs must be made within 30 days of the date of issue of the relevant invoice by the Seller without any deductions. The Seller shall be entitled to charge interest on overdue payments at a rate of 5% per annum above the Santander plc base rate, accruing daily starting on day 31 from the date of invoice until full settlement has been made. Further, the Seller shall be entitled to refuse delivery of any further goods to the Customer until such time as outstanding payments have been received.
7. Shipping
Goods will be dispatched using a courier of the Seller's choice (which may be subject to change at any given time). The goods shall be delivered to the delivery address given on the purchase order. Any date or time of delivery provided by the Seller is an estimate only, and the Seller will not be liable for failure to deliver products on such a date at such a time. The Seller reserves the right to ship goods in advance of any date previously provided by the Seller. Delivery of goods will be accepted at any time of day. Where the Customer refuses to accept a delivery, the Seller reserves the right to charge the Customer reasonable costs for re-scheduling another delivery. The Seller must be notified of any visible damage to the product, any shortage in quantity or incorrect shipments within 24 hours of delivery.
8. Returns - Money Back Guarantee Scheme
Standard products are covered by the Seller’s money back guarantee scheme. Standard products that have not arrived damaged but are simply unwanted may be returned to the Seller within 30 days of receipt for a refund. Goods must be returned at the Customer’s expense, complete and in pristine (as new) condition. Upon receipt and inspection of returned items, the Seller will refund the original purchase price excluding carriage costs. The Seller reserves the right to make reasonable charges for any damaged or missing goods.
9. Returns - Custom Products
Custom (non-standard) products are excluded from the Seller’s money back guarantee scheme. Returns for custom items that have not arrived damaged but are simply unwanted shall be returned to the Seller at the Customer's expense. The Seller must be notified of the Customer's intention to return the goods within 24 hours of receipt. The Seller is in no way obliged to accept returns after delivery where the order was placed more than seven days previously. Goods must be returned in pristine (as new) condition, in the original unopened packaging for a refund to be issued. Where a refund is issued, the Seller reserves the right to charge a reasonable fee for carriage and development costs incurred.
10. Returns – Incorrect Shipments or Faulty Items
Where goods are received faulty or an incorrect shipment has been received, the Seller will organise collection of the goods at no cost to the Customer.
11. Cancellation
The Customer has the right to cancel an order within seven working days of the date of the order. All cancellations must be made in writing. Upon cancellation of an order, any goods received by the Customer must be returned to the Seller at the Customer's expense. In the event that returned goods are damaged as a result of inadequate packaging, the Seller reserves the right to charge the Customer for any damage caused. If the Customer fails to return any goods, the Seller reserves the right to charge the Customer the reasonable cost of collecting the goods. The Seller may cancel an order at any time prior to delivery.
12. Warranty
The Seller warrants that all products sold are guaranteed against failure due to faulty parts or workmanship for a period of five (5) years from the date of purchase, unless clearly stated otherwise. In the event of product failure due to faulty parts or workmanship within the warranty period, the Seller, at its own discretion, will either (a) repair the product, (b) supply a replacement product, (c) supply a functionally equivalent replacement product, or (d) refund the purchase price of the product. The limited warranty will not apply if (a) the product has not been installed or operated as per the Seller's instructions, (b) the product has been modified in anyway. The warranty DOES NOT cover any accidental damage to the product. The warranty is issued to the Customer, and is not transferable.
13. Promotions
Any promotion in relation to the sale of goods is subject to availability, and the Seller reserves the right to withdraw the offer at any time without prior notification.
14. Force Majeure
The Seller will not be responsible for loss resulting from delay or failure to deliver arising from causes beyond the Seller's reasonable control. These include, but are not limited to, acts of God, war, acts of terrorism, civil disturbance, riot, industrial action or dispute, national calamity, restrictions or prohibitions of Government or any other competent authority, sabotage, flood, fire or non-availability of materials.
15. Law
These terms and conditions shall be governed by and interpreted in accordance with the laws of the England. If these terms and conditions have been translated into a language which is not English and a dispute arises as to the meaning or translation of any term, the interpretation of the English version shall prevail. Any disputes arising out of these terms and conditions shall be resolved in accordance with the law of the England.
